Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Center for Scaling website, community, resources, and related services (collectively, the "Site"). The Site is owned and operated by Virgo Development ("Virgo Development," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Acceptance of Terms

By visiting the Site, creating an account, submitting a form, joining the community, taking the Scaling Assessment, or otherwise using any part of the Site, you confirm that you have read, understood, and agree to these Terms, as well as our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of the Service

Center for Scaling provides educational content, a practitioner community, a self-assessment tool, and related resources for coaches, therapists, and counselors interested in scaling their practice. Center for Scaling may recommend or link to Next Level, a software platform also affiliated with Virgo Development, when appropriate for a visitor's stage of growth. The Site is provided for general educational and informational purposes only and does not constitute professional, clinical, legal, financial, or licensing advice of any kind.

3. Eligibility

The Site is intended for use by individuals who are at least 18 years old. By using the Site, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. The Site is not directed at children, and we do not knowingly collect information from anyone under the age of 18.

4. Accounts and Registration

Certain parts of the Site, including the community and certain resources, may require you to submit information such as your name and email address. You agree to provide accurate, current, and complete information, and to keep that information up to date. You are responsible for maintaining the confidentiality of any credentials associated with your access and for all activity that occurs under your account.

5. Acceptable Use

When using the Site, you agree not to:

• Violate any applicable law, regulation, or third-party right
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Upload or transmit any content that is unlawful, harassing, defamatory, abusive, or otherwise objectionable
• Interfere with or disrupt the Site, its servers, or its networks
• Attempt to gain unauthorized access to any portion of the Site or any systems or networks connected to it
• Use any automated means, including bots or scrapers, to access or collect data from the Site without our prior written consent
• Use the Site or the community to solicit, advertise, or sell products or services not related to your legitimate participation in the community
• Reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of the Site without our express written permission

6. Community Participation

If you participate in any Center for Scaling community, forum, or discussion space, you agree to treat other participants respectfully and to comply with any community guidelines we publish. We reserve the right, but do not assume the obligation, to monitor, moderate, remove, or restrict access to content or participants at our sole discretion, without notice, for any reason, including violation of these Terms or our community guidelines.

Any content you post, submit, or share within the community or elsewhere on the Site ("User Content") remains yours, but by posting it you grant Virgo Development a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, adapt, publish, and display that content in connection with operating and promoting the Site. You are solely responsible for the User Content you submit and for ensuring you have the rights necessary to share it.

7. Not Professional, Clinical, or Financial Advice

Content on the Site — including blog articles, the Scaling Assessment, community discussion, and any resources made available — is provided for general educational and practice-development purposes only. It is not legal, ethical, licensing, clinical, or financial advice, and it does not create a coaching, therapy, consulting, or other professional relationship between you and Center for Scaling or Virgo Development. You should evaluate any strategy discussed on the Site in light of your own professional credentials, applicable laws, ethical codes, and the needs of the people you serve, and consult a qualified professional where appropriate.

8. Third-Party Links and Services

The Site may contain links to third-party websites or services, including Next Level and ParadeSmart, both of which are also affiliated with Virgo Development, as well as unaffiliated third-party sites referenced in our content. We do not control and are not responsible for the content, privacy practices, or terms of any third-party site. Where Center for Scaling recommends Next Level, we disclose that we may receive a referral fee for that recommendation. Inclusion of any link does not imply endorsement, and your use of any third-party site is governed by that site's own terms and privacy policy.

9. Intellectual Property

All content on the Site, including text, graphics, logos, illustrations, and software, is the property of Virgo Development or its licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited license granted to you to access and use the Site for its intended purpose, no right, title, or interest in any Site content is transferred to you. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.

10. Disclaimer of Warranties

The Site and all content, tools, and resources made available through it are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any results obtained from using the Site or its recommendations, including the Scaling Assessment, will meet your expectations.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Virgo Development, its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of, or inability to use, the Site, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to these Terms or the Site will not exceed the greater of one hundred dollars ($100) or the amount you paid us, if any, in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Virgo Development and its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Site, your User Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Site, or any part of it, at any time and for any reason, including violation of these Terms, without prior notice or liability. Upon termination, your right to use the Site will immediately cease. Provisions of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification, will survive.

14. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Utah, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Site after any changes take effect constitutes your acceptance of the revised Terms.
